These Terms govern your use of Watheeq (واثق), a platform for contracting, e-signature, escrow and payments operated together with its payout partners Aurora and Sero. By creating an account you agree to these Terms.
1. Acceptance & eligibility
By creating an account, signing a contract, or otherwise using Watheeq, you accept these Terms and our Privacy Policy. If you accept on behalf of a company, you confirm you are authorized to bind it.
You must be legally capable of entering into binding agreements and provide accurate registration and verification (KYB/KYC) information.
2. Watheeq's role (intermediary)
Watheeq is a technology intermediary that facilitates contracting, verification, escrow and the release of payments between a client company and an expert (employee or contractor). Watheeq is not the employer, client, or counterparty to the underlying engagement and does not perform, supervise, or guarantee the work.
Contracts are concluded between the company and the expert. Watheeq and its partners provide the platform, hold funds, and execute approved payouts.
3. Accounts & verification
Companies and experts must complete onboarding and pass Know-Your-Business / Know-Your-Customer checks before their account is activated. Watheeq may request additional documents, return an application for more information, or decline or suspend an account to meet legal, regulatory or risk requirements.
You are responsible for the security of your credentials and for all activity under your account.
4. Contracts & e-signature
Contracts are drafted on the platform and signed electronically. Only the company's designated authorized signatory may sign on the company's behalf; editors may draft but not sign or release funds.
An electronic signature applied on the platform is binding and has the same effect as a handwritten signature to the extent permitted by applicable law.
5. Payments, escrow & fees
The company funds its wallet before a contract can be created and the contract value is held for release. The expert receives 100% of the agreed contract amount.
For Saudi-billed engagements, Watheeq charges a commission of 10% of the contract amount plus 15% VAT calculated on the amount plus commission. For engagements paid out of the UAE, a 5% deduction applies and no VAT is charged. Fees are shown on each contract before it is created.
Funds for a milestone or contract are released only after the company approves the expert's payout request. Watheeq then executes the transfer and provides a receipt.
6. Money transfer policy
Payouts are executed by Watheeq's partners: international experts are paid by Aurora and resident experts by Sero, over local or international banking rails. Transfer times depend on the banks and rails involved and are not guaranteed by Watheeq.
Watheeq is responsible only for sending the approved amount and evidencing it with a transfer receipt. Watheeq is NOT responsible for, and does not reimburse, any fees, charges, deductions or exchange-rate spreads applied by the recipient's bank, any intermediary or correspondent bank, or the recipient's payment provider. Such fees are borne by the recipient and may reduce the amount ultimately credited to the recipient's account.
International transfer fees stated on the platform are billed at cost and cover only the sending side. The recipient is responsible for providing correct bank details; Watheeq is not liable for delays, returns or losses caused by incorrect or incomplete beneficiary information.
7. Reports & disputes
Either party to a contract may raise a report about the other party (for example on payment, deliverables, scope or conduct). Reports are visible to the other party and to Watheeq, who may mediate and request information.
Watheeq facilitates resolution but is not an arbitrator of the underlying work. The release of funds always requires the company's approval; Watheeq does not unilaterally decide the merits of a commercial dispute.
8. Acceptable use
You may not use Watheeq for unlawful purposes, money laundering or sanctions evasion, to submit false documents, to impersonate others, or to circumvent fees or the platform's controls.
9. Limitation of liability
To the maximum extent permitted by law, Watheeq's total liability in connection with the platform shall not exceed the platform fees it actually received for the relevant contract. Watheeq is not liable for indirect or consequential loss, or for the acts, omissions or solvency of any party to an engagement.
10. Governing law
These Terms are governed by the laws of the Kingdom of Saudi Arabia and, where applicable to UAE-side payouts, the laws of the United Arab Emirates. Disputes are subject to the competent courts of the relevant jurisdiction.
11. Changes
We may update these Terms. Material changes take effect when posted; continued use after an update constitutes acceptance of the revised Terms.
